Terms of service

1. The service

Mavericks Commerce ("the service") is a point-of-sale, invoicing, inventory and reporting product for small and mid-sized retail and wholesale businesses. This deployment is hosted and operated by Mavericks Commerce ("the operator"). There is no self-service sign-up: the operator sets each business up, and the business's owner then invites its own staff and its own customers.

By signing in to the service — as staff of a business or as a buyer using that business's customer portal — you accept these terms on your own behalf and, where you act for a business, on that business's behalf. If you do not accept them, do not use the service.

The operator may revise these terms. The date at the top of this page is the date of the current version; a material change is announced to each business's owner before it takes effect.

2. Accounts

The operator creates each business and its first owner account. Owners invite staff and create customer-portal accounts for their customers; the business is responsible for everything done under the accounts it controls. An email address belongs to one staff account and one portal account.

Each person is responsible for keeping their password private and for telling the business's owner at once if they believe an account has been used without permission. Sessions can be ended from the Account page, and a changed password ends every other session.

3. Acceptable use

You may use the service only for the lawful business of the business that gave you access. You may not attempt to reach another business's records, probe or interfere with the service or the systems it runs on, load it beyond ordinary use, copy it, or resell access to it.

API keys are issued by a business's owner and act with that business's permissions; the business is responsible for how its keys are used and for revoking a key it no longer trusts.

4. Payment

Payment for the service is handled outside the product. Nothing in the service charges a card, holds funds or bills a business: any fee is agreed between the business and the operator directly. A card tender recorded at the register is a record of a payment the business took elsewhere, not a charge made by the service.

5. Your data

The records a business enters — its customers, products, documents, payments and settings — belong to that business. The operator handles them only to run, support, back up and restore the service, as described in the privacy policy. The business can export its records as CSV files from within the product at any time and is responsible for keeping the copies it needs.

6. Availability and liability

The service is provided as it is. The operator takes reasonable care to keep it available and to back it up nightly, but does not promise uninterrupted or error-free operation, and may take it offline for maintenance.

To the extent the law allows, the operator is not liable for indirect or consequential loss, lost profit or lost data arising from the use of the service, and its total liability for any claim is limited to the fees the business paid for the service in the twelve months before the claim arose. Nothing in these terms limits liability that the law does not allow to be limited.

7. Termination

The operator may suspend or close a business's access for a breach of these terms, for non-payment of fees agreed outside the product, or on reasonable notice if the service is withdrawn. A business may ask the operator to close its access at any time.

Closing a business deactivates every staff account, portal account and API key. It deletes nothing: the business's records and its audit log are kept as described in the privacy policy, and the CSV exports the owner took are the business's own copy of them.

8. Governing law

These terms are governed by the law of the State of Texas, USA, and any dispute about them is heard by the courts there, unless the law that applies to you gives you a right to bring it elsewhere.
